The Bankruptcy Code provides no specific treatment of a debtor/member’s LLC interest. Case law regarding the effect of a bankruptcy on a debtor/ member’s LLC interest is confusing and contradictory. Judges and counsel for trustees, creditors and debtors struggle with the issues: What happens to an LLC if a member of the LLC files for bankruptcy relief? Is the operating agreement of an LLC an executory contract ? Can a trustee assume the operating agreement? Can the interest of the debtor in an LLC be sold under §363? Join Jay D.
